Dicker Data buys Sektor Group in South-East Asia push

Dicker Data has agreed to acquire Sektor Group, giving it operations in Thailand and Malaysia.

The Australian technology distributor has entered into a binding agreement to buy 100% of Sektor for NZD $138.0 million, or about AUD $111.8 million, on a cash-free, debt-free, normalised working capital basis.

Sektor distributes point-of-sale and enterprise mobility technologies, cybersecurity, physical security, and specialised infrastructure products across Australia, New Zealand, Thailand, and Malaysia. Established in 2009, it employs about 230 people, including around 60 in Thailand and Malaysia.

Dicker Data will fund the acquisition through an extension of its existing debt facilities. The transaction is expected to complete by the end of October, subject to standard conditions and regulatory approvals.

Regional footprint

The acquisition gives Dicker Data a direct operating presence in South-East Asia through Sektor's businesses in Thailand and Malaysia. Those operations include local facilities and teams, adding to Dicker Data's distribution business in Australia and New Zealand.

The deal also broadens Dicker Data's reach into technology segments where Sektor already has an established reseller base, including cybersecurity, physical security, point-of-sale, and automatic identification and data capture.

Dicker Data distributes products through a network of more than 12,000 partners across Australia and New Zealand. The transaction creates scope to introduce its existing vendor portfolio to Sektor's reseller community while extending Sektor's products through Dicker Data's partner network.

Financial details

In the 12 months to 31 August 2026, Sektor recorded gross revenue of NZD $440 million and unaudited normalised pre-AASB16 EBITDA of NZD $22.7 million.

The acquisition is expected to be earnings accretive in Dicker Data's FY26 year ending 31 December 2026, excluding one-off transaction and integration costs. Based on the expected completion date, it would contribute about two months of earnings in that financial year.

Dicker Data is targeting annualised post-integration pre-AASB16 EBITDA of about NZD $28 million to NZD $32 million, before one-off transaction and integration costs.

The deal also adds exposure to the point-of-sale and automatic identification and data capture market in Australia and New Zealand, which Dicker Data values at about AUD $1 billion. It also pointed to a broader Asia-Pacific ICT market estimated at USD $647 billion.

Dicker Data has been in business since 1978 and supplies hardware, software, and cloud products to resellers. Adding Sektor would extend that distribution model into a broader range of specialist categories and give the company an operating base beyond Australia and New Zealand.
